Terms of Service

1. Acceptance

By engaging Google Ads For Law Firms (AdsCounsel) for paid Google Ads management, audit, landing-page or call-tracking services, you agree to these Terms of Service. The signed Statement of Work (SOW) for your engagement controls in case of conflict.

2. Free PPC Audit

The free PPC audit carries no obligation. You retain ownership of any audit deliverables we provide, even if you do not become a paying client.

3. Monthly Retainers

Monthly retainers are billed in advance, on or before the first of each month. Initial term is 90 days from the campaign launch date. After the initial term, the engagement renews month-to-month and may be cancelled with 30 days' written notice by either party.

Monthly fees do NOT include your media spend with Google. You pay Google directly via your own Google Ads billing account, which you control.

4. Account Ownership

You own and retain full administrative access to your Google Ads account, your landing pages, your call-tracking platform, and all data generated. We never hold any account asset hostage. At engagement end, we transfer all access cleanly within 5 business days.

5. Performance Guarantee

For Growth and Enterprise retainers, if your cost-per-qualified-lead is not lower at the end of the 90-day initial term than your starting baseline, we continue to manage your account at no monthly fee until that target is met. "Qualified lead" is defined in your SOW with your intake team's specific scoring criteria.

This guarantee applies to verifiable cost-per-qualified-lead reductions. It does NOT guarantee specific case counts, signed-client volume, or revenue outcomes.

6. Confidentiality

Both parties agree to keep confidential any non-public business information shared during the engagement, including ad spend, conversion data, intake metrics, and proprietary processes. This obligation survives termination of the engagement.

7. Limitation of Liability

Our total liability for any claim arising from the engagement is capped at the fees paid by you to us in the 3 months preceding the claim. We are not liable for indirect, incidental, consequential or punitive damages.

8. Compliance

You are responsible for ensuring your law firm's advertising complies with state bar rules in every jurisdiction in which you practice. We will follow your direction on any ad-copy claims, disclaimers, or required language. We will not knowingly run ads that violate Google Ads policies or US legal-advertising rules.

9. Termination

Either party may terminate the engagement with 30 days' written notice after the initial 90-day term. Pro-rated fees are non-refundable. Upon termination, we transfer all account access within 5 business days.

10. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in Travis County, Texas.
